Dear Member

 

 

During the Annual General Meeting held on 19th April 2008; a request was placed for an Extraordinary General Meeting (EGM) which received the required support. The Directors therefore give notice that the EGM will be held at the time and place stated above. The bar will be open for drinks at 18:30.

 

Please note that the EGM is open to paid-up members only. Non-members are not eligible to attend.

 

The Directors place prime importance on promoting a fair and democratic process at the EGM; as well as meeting all legal requirements. Hence we would encourage all members’ to familiarise themselves with their rights at the EGM by reference to the Memorandum and Articles of Association of the Black Mountains Gliding Club which can be viewed in the members area of the club website at www.blackmountainsgliding.co.uk. Copies are also available on request from the Secretary.

 

Members’ rights at the EGM include, but are not limited to, the following:

 

·         To ask questions of the Directors on any issue related to the management of the club’s affairs.

·         To make proposals in order to bring about changes considered beneficial to the future management and operation of the club.

·         To vote on such proposals.

 

Proposals can be raised by any member at the EGM; and do not have to be raised in advance of the meeting. However the Directors request that if possible members submit their proposals before 17:00hrs on Friday 16th May 2008. This will assist in organising the voting process in advance of the EGM at the next Committee Meeting of Directors, due to be held on Saturday 17th May 2008. Your support in this regard would be greatly appreciated; since it will help streamline the voting process at the EGM.

 

Proposals can be sent to the Secretary at michael.codd@vanderlande.com or posted to him at the club.

 

Paid up Full, Country, Joint, Family and Student members 18 years of age or over are entitled to vote. A proxy voting appointment form is attached to the agenda for those members who may wish to vote but cannot attend.

 

The Directors very much encourage all members to attend and exercise their rights at the EGM. We look forward to seeing you there.

Voting by Proxy at the EGM

 

A member who is entitled to vote may appoint a proxy to vote at the meeting in his or her place.

To appoint a proxy, please complete the form below and send it to the Temporary Secretary, or deposit it in the Temporary Secretary’s tray, at the office on the airfield, not less than 24 hours before the meeting (i.e. before 19:00hrs on Friday 30th May 2008). Forms received after this time will not be valid.
